Legal Counsel
We're at the size where the legal work is constant, commercial and genuinely interesting. We love our lawyers and our external firm, and we're not looking to replace them. But we need someone in-house to triage the work and make things go faster. Quite often we don't need a full-blown outsourced firm — we need a pragmatic operator who makes deals happen safely, not a department that says no. This isn't urgent for us. But if we find the right person, we'll make it happen.
The mix is broad by design. Client MSAs, SOWs and IP terms (our model deliberately leaves IP and architecture with the client — you'll protect that promise in both directions). Employment and contractor frameworks across Australia and overseas hires. Scale-side work: equity participation in client businesses, capital raising alongside partners, and the obligations that come with being a corporate authorised representative under an AFSL. You'll own all of it, build the templates and processes as you go, and pull in external specialists only where it's genuinely needed.
What you will do
- Own commercial contracting end to end: MSAs, SOWs, NDAs, partner agreements — drafting, negotiating, closing
- Protect the IP architecture of our client model: clients keep their IP; our reusable know-how stays ours
- Run employment and contractor frameworks: FTEs, Australian contractors, and international hires
- Support Scale deals: equity participation, capital raises with partners, and AFSL/corporate authorised representative obligations
- Set our privacy, data and compliance posture, including for clients in regulated industries (energy, care, financial services)
- Build the legal function: templates, playbooks, sign-off thresholds — and manage external counsel where specialist depth is needed
What you bring — Required
- Australian-qualified lawyer with 5+ years PQE across commercial/technology law
- Deep experience drafting and negotiating services and software agreements
- Pragmatic risk judgement: you find the path to yes and can defend where you drew the line
- Plain-English communication — founders and clients, not just other lawyers
- Comfortable as the only lawyer in the building, building the function as you go
Strongly preferred
- In-house experience at a tech company, agency or scale-up
- Exposure to financial services regulation, ideally AFSL / corporate authorised representative arrangements
- Employment law depth, including international contractor arrangements
- Flex market and energy systems experience is always a big bonus
Nice to have
- Energy-sector regulatory exposure
- M&A or investment transaction experience
